This Agreement is entered into by Love Power Up, LLC (“Love Power Up,” “We,” “Us,” or “Our”), the developer of the DFS Optimizer app service (the “App,” “Service,” or “Services”), and the entity or person agreeing to these terms (the “Customer,” “You,” or “Your”), and governs Your access to and use of the Services.
For purposes of this Agreement, “Assets” means any content, materials, AI-generated daily fantasy sports lineup suggestions, player selection explanations, lineup construction explanations, pivot options, strategy notes, cash game or GPP recommendations, projections, data, software components, or other information generated, provided, or made available through the Services, whether created by Us, generated by automated systems, or supplied by third parties.
This Agreement is effective when You are presented with this Agreement and proceed to use the Services or to receive, view, save, or distribute Assets. These terms may be updated and presented again from time to time. Continued use of the Services constitutes acceptance of the updated terms. If You do not agree to this Agreement, please stop using the Services.
DFS Optimizer is an AI-powered daily fantasy sports lineup research and lineup-building tool. The App may allow users to select a daily fantasy sports platform, such as DraftKings or FanDuel, select a supported sport, choose a contest style, such as Cash or GPP, provide optional lineup details or parameters, and receive AI-generated lineup suggestions, explanations for player selections, overall lineup construction reasoning, strategy notes, and pivot options.
The Services may support major daily fantasy sports, including MLB, NFL, NBA, and NHL, subject to App functionality, data availability, slate availability, seasonality, technical limitations, third-party provider limitations, and Our discretion. Not every sport, slate, contest type, player, game, platform, or feature will be available at all times.
The Services are intended for informational, entertainment, research, and lineup-building assistance only. The Services do not operate daily fantasy sports contests, do not accept wagers, do not process contest entries, do not pay prizes, and do not guarantee any fantasy sports result, contest outcome, winnings, prize, profit, return on investment, or other financial outcome.
We are constantly improving the Services to make them better. The Services are subject to modification and change. No guarantees are made with respect to the Services’ quality, stability, uptime, reliability, accuracy, availability, or continued operation. Please do not create any dependency on any particular feature, attribute, output, timing, slate, sport, platform, lineup, player, contest type, or availability of the Services. We will not be liable to You or any third party for any harm caused by Your dependency on the Services.
By accessing the Services, You confirm that You are at least 18 years old and meet the minimum age of digital consent in Your country. The Services are intended only for adults. You may not use the Services if You are under 18 years old.
If You are a parent or legal guardian and You believe that a minor has accessed or used the Services, please contact Us so that We may take appropriate action.
By using the Services, You may provide Us with personal information such as Your email address, user name, billing information, app activity, optional lineup parameters, saved history, and other information that You enter or submit. Please see Our Privacy Policy.
The App may allow You to submit text, prompts, questions, preferences, contest style selections, player preferences, stack preferences, players to lock or fade, teams, slate assumptions, risk tolerance, contrarian preferences, strategy instructions, or other information in order to generate DFS lineup suggestions, player selection explanations, lineup construction explanations, strategy notes, and pivot options (“User Submissions”). You are solely responsible for the accuracy, completeness, lawfulness, and appropriateness of any User Submissions You provide.
You grant Love Power Up a non-exclusive, worldwide, royalty-free license to use, host, store, reproduce, process, analyze, transmit, display, and create outputs from Your User Submissions solely as reasonably necessary to provide, maintain, operate, and improve the Services, including generating DFS lineup suggestions, explanations, strategy notes, pivot options, saved history entries, and other Assets.
The App may not always follow User Submissions or optional parameters perfectly. Outputs may be incomplete, inconsistent, inaccurate, unsuitable, or different from Your requested strategy, slate, sport, platform, contest type, player preference, stack preference, or other instruction.
You should not submit highly sensitive personal information, confidential information, third-party private information, medical records, financial account numbers, legal documents, passwords, government identification numbers, or emergency/crisis information through the Services.
DFS Optimizer may offer subscription plans that provide access to AI-generated DFS lineup suggestions, lineup construction explanations, player selection explanations, pivot options, supported sports, supported platforms, and related premium features. Available plans, pricing, features, lineup limits, trial offers, and promotions may vary by country, platform, currency, taxes, App Store settings, and time.
Subscription options may include, without limitation:
Subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period, or as otherwise required by the applicable app store or subscription platform. Your account may be charged for renewal within 24 hours before the end of the current billing period. You are responsible for managing and canceling Your subscription through Your Apple App Store account settings, Google Play account settings, or other applicable platform settings.
If You cancel a subscription, You will generally continue to have access to the subscribed features until the end of the then-current billing period, unless otherwise stated by the applicable app store or platform. We do not provide refunds or credits for partial billing periods, unused access, unused lineups, missed lineup days, accidental purchases, or lineup suggestions that You do not use, except where required by law or by the applicable app store rules.
DFS Optimizer subscription plans may include a daily allowance of lineup generations, depending on Your subscription tier. Daily lineup allowances are measured on a daily basis and do not roll over, accumulate, bank, carry forward, or become available retroactively. For example, if You subscribe to a plan that permits five lineups per day and You generate only three lineups on a particular day, the two unused lineups expire and are not added to any future day.
Unused lineups are not refundable, redeemable, transferable, exchangeable, or creditable. Missed days are not refundable, redeemable, transferable, exchangeable, or creditable.
We may determine, in Our discretion, when a new daily period begins, how daily access is calculated, how lineup usage is counted, and whether a lineup generation has been used for a particular period.
A lineup generation may count against Your daily lineup allowance when the App generates, attempts to generate, displays, or makes available a lineup suggestion or related lineup output, even if You do not use the lineup, do not enter the lineup in a contest, dislike the lineup, request a revised lineup, later change Your strategy, or are unable to use the lineup for any reason.
A lineup generation may also count against Your daily lineup allowance even if the lineup does not fit within an applicable salary cap, includes a player who is not available on a selected slate, includes a player whose status later changes, includes inaccurate position eligibility, includes a player who is later scratched, ruled out, benched, traded, injured, postponed, weather-affected, or otherwise unavailable, or requires substitutions or pivot options before use.
The Services provide AI-generated daily fantasy sports lineup research, lineup suggestions, strategy notes, and related information for informational and entertainment purposes only. The App does not provide gambling advice, betting advice, investment advice, financial advice, legal advice, tax advice, or any other professional advice.
You are solely responsible for how You interpret, use, rely on, modify, share, or act upon any lineup suggestion, player explanation, lineup construction explanation, strategy note, pivot option, or other Asset. You should independently evaluate and verify all information before entering any daily fantasy sports contest.
DFS Optimizer is not affiliated with, endorsed by, sponsored by, approved by, or connected to DraftKings, FanDuel, any daily fantasy sports operator, sportsbook, sports betting operator, professional sports league, sports team, players association, athlete, data provider, contest provider, or other third party, unless expressly stated by Us in writing.
DraftKings, FanDuel, league names, team names, player names, and other trademarks, service marks, logos, and brand names are the property of their respective owners. Any references to such third parties are for identification, compatibility, informational, or nominative purposes only and do not imply endorsement, sponsorship, approval, partnership, or affiliation.
DFS Optimizer does not receive official real-time DraftKings or FanDuel salary numbers directly from DraftKings or FanDuel. As a result, AI-generated lineups may not fit under the applicable salary cap, may be based on incomplete or inaccurate salary assumptions, may include inaccurate or outdated player information, may include players who are not available on the selected slate, may include players with incorrect position eligibility, or may otherwise fail to satisfy DraftKings, FanDuel, or other contest requirements.
Each lineup may include pivot options or suggested substitutions intended to help You adjust the lineup, including to help keep the lineup under the applicable salary cap. Pivot options are not guaranteed to be accurate, available, eligible, affordable, optimal, or sufficient to satisfy salary cap, roster, slate, platform, or contest requirements.
You are solely responsible for verifying all salary information, salary cap compliance, roster rules, position eligibility, player availability, player status, slate inclusion, contest rules, lock times, game times, and platform requirements before entering any lineup in a daily fantasy sports contest.
The App may use automated systems, artificial intelligence, machine learning, algorithms, third-party sports data, odds data, projections, or other automated technologies to generate DFS lineup suggestions, player selection explanations, lineup construction explanations, cash game or GPP strategy notes, pivot options, and other Assets. You acknowledge that AI-generated outputs may contain errors and may be incomplete, inaccurate, inconsistent, subjective, biased, outdated, unexpected, repetitive, unsuitable, or inappropriate for Your specific circumstances, contest, slate, strategy, or jurisdiction.
Generated lineup suggestions, player selection explanations, lineup construction explanations, strategy notes, and pivot options may vary in quality and may not always match Your expectations, preferences, prompt, selected platform, selected sport, selected slate, selected contest type, or intended strategy. Some outputs may fail, be delayed, be unavailable, be restricted by technical limitations, safety systems, third-party service rules, data provider limitations, or content moderation systems.
Lineup suggestions and pivot options are not statements of fact, professional advice, or guarantees. They should be treated as research inputs only.
The App may allow You to select a contest style such as Cash or GPP. These selections are general strategy categories only and do not guarantee that a lineup is suitable for any particular contest. Cash-style outputs may emphasize stability, projected role, salary value, or lower-risk construction. GPP-style outputs may emphasize upside, correlation, stacking, leverage, contrarian plays, uniqueness, or higher-risk construction.
Neither Cash mode, GPP mode, nor any other strategy mode guarantees winnings, profit, contest placement, safety, upside, uniqueness, positive return on investment, or any other result.
Daily fantasy sports contests involve uncertainty and risk. Player performance, playing time, coaching decisions, injuries, weather, postponements, scratches, batting orders, starting lineups, starting pitchers, depth charts, matchups, ownership, contest selection, opponent lineups, scoring rules, and many other factors can affect contest outcomes.
You understand and agree that the Services do not guarantee any winnings, prizes, profit, positive return on investment, contest placement, fantasy point total, lineup score, optimal lineup, successful fade, successful stack, correct contrarian play, accurate projection, accurate ownership expectation, or other result.
You agree not to treat any lineup suggestion, player explanation, lineup construction explanation, strategy note, pivot option, projection, recommendation, or other Asset as a guarantee that any particular player, lineup, contest entry, or strategy will succeed.
You are solely responsible for all daily fantasy sports decisions, contest entries, lineup submissions, entry fees, contest selection, player selections, roster changes, late swaps, salary cap compliance, platform compliance, and legal compliance. You should review and verify every lineup before entering it in any contest.
We are not responsible for any lost entry fees, lost contests, missed prizes, missed late swaps, invalid lineups, salary cap errors, player eligibility errors, platform errors, or any other consequence arising from Your use of or reliance on the Services or Assets.
The Services may rely on third-party data, public information, sports news, odds information, projections, schedules, player information, and automated systems. Such information may be incomplete, delayed, inaccurate, unavailable, outdated, or subject to change without notice.
Player status, starting lineups, batting orders, starting pitchers, injuries, scratches, trades, roster moves, depth charts, weather, postponements, game times, lock times, salaries, ownership, projections, and platform rules may change after a lineup is generated. The App may not update or correct a lineup after such changes occur.
You are solely responsible for checking current information from the relevant daily fantasy sports platform, official team sources, league sources, weather sources, sports news sources, and other reliable sources before entering or modifying any lineup.
Daily fantasy sports laws, rules, eligibility requirements, age requirements, and platform availability vary by jurisdiction. You are solely responsible for determining whether Your access to and use of the Services, and Your participation in any daily fantasy sports contest, is lawful where You are located and where You use the Services.
You may not use the Services in any jurisdiction where doing so, or where participating in daily fantasy sports contests, is prohibited, restricted, or otherwise unlawful. You are also responsible for complying with all applicable daily fantasy sports platform rules, contest rules, league rules, app store rules, and applicable national, federal, state, local, and international laws and regulations.
We reserve the right to suspend or ban Your access to the Services at any time, and for any reason.
You may not:
We reserve the right to investigate complaints or reported violations of Our Terms of Service and to take any action We deem appropriate, including but not limited to reporting suspected unlawful activity to law enforcement officials, regulators, or other third parties and disclosing information necessary or appropriate to such persons or entities relating to user profiles, email addresses, usage history, submitted materials, IP addresses, and traffic information.
User Submissions, DFS lineup suggestions, player selection explanations, lineup construction explanations, strategy notes, pivot options, history entries, saved content, preferences, or other Assets may be stored persistently for convenience within the App and to provide history or related functionality. However, Love Power Up does not guarantee permanent storage, backup, availability, or recoverability of any such content or outputs.
If the App is deleted, Your device is changed, access is lost, data is deleted, phone data is lost or corrupted, Your subscription ends, Your account is closed, or the App’s local or associated storage is cleared, Your User Submissions, DFS lineup suggestions, player selection explanations, lineup construction explanations, strategy notes, pivot options, history entries, saved content, preferences, and other Assets may be permanently lost. You are responsible for maintaining any copies of content or outputs that You wish to keep.
The Services may use or interact with third-party services, including artificial intelligence providers, sports data providers, odds providers, fantasy sports data sources, projection sources, cloud hosting providers, analytics providers, payment processors, app stores, and other vendors. Third-party services and data may be subject to their own terms, privacy policies, availability, restrictions, licensing limitations, and technical limitations.
We are not responsible for any third-party service, third-party output, third-party failure, third-party delay, third-party policy, third-party data, third-party content, or any incomplete, inaccurate, delayed, unavailable, outdated, or restricted information supplied by or derived from third-party services.
Love Power Up does not monitor all User Submissions and has no obligation to review, verify, validate, or confirm the accuracy, legality, safety, consent, ownership, or appropriateness of any submitted information, generated lineup suggestion, player explanation, lineup construction explanation, strategy note, pivot option, or other output. We reserve the right, but have no obligation, to remove, restrict, or refuse any content or output at Our discretion.
You agree that You are not relying on the App as Your primary source of fantasy sports research, daily fantasy sports strategy, salary information, player availability information, injury information, weather information, betting advice, gambling advice, financial advice, legal advice, tax advice, or professional advice, and that any decision to use, modify, share, interpret, or act upon the App’s outputs is made solely by You.
To the fullest extent permitted by law, Love Power Up LLC and its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to loss of profits, lost winnings, lost prizes, lost contest opportunities, lost entry fees, or any other financial losses, arising from:
Both the Services and the Assets are provided to You on an “AS IS” and “AS AVAILABLE” basis, without warranties or conditions of any kind, either express or implied, including, without limitation, any warranties or conditions of title, non-infringement, merchantability, fitness for a particular purpose, accuracy, reliability, availability, or suitability. You are solely responsible for determining the appropriateness of using the Services and assume any risks associated with use of the Services.
The Services are not intended to provide gambling, betting, financial, legal, tax, investment, or other professional advice.
YOU EXPRESSLY UNDERSTAND AND AGREE THAT NEITHER LOVE POWER UP NOR ITS OFFICERS, EMPLOYEES, DIRECTORS, SHAREHOLDERS, LICENSORS, SERVICE PROVIDERS, AFFILIATES, AND AGENTS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, EXEMPLARY DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF LOVE POWER UP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, RESULTING FROM: (A) THE USE OR THE INABILITY TO USE THE SERVICES OR ANY RELATED INFORMATION; (B) UNAUTHORIZED ACCESS TO THE SERVICES; (C) CONDUCT OF ANY THIRD PARTY, INCLUDING OTHER USERS, OF THE SERVICES; OR (D) ANY OTHER MATTER RELATING TO THE SERVICES. IN NO EVENT WILL LOVE POWER UP’S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE GREATER OF (I) ONE HUNDRED DOLLARS ($100) OR (II) THE PRICE YOU PAID FOR THE SERVICE IN THE LAST TWELVE (12) MONTHS. IF YOU ARE MERELY DISSATISFIED WITH ANY PORTION OF THE SERVICES OR WITH THESE TERMS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USE OF THE SERVICES.
You will indemnify, defend, and hold harmless Love Power Up and its affiliates, shareholders, officers, directors, employees, agents, and representatives from and against any and all claims, including all damages, judgments, costs, and expenses, including reasonable attorneys’ fees (“Claims”), arising out of and relating to (a) any Claims concerning information submitted by You, including User Submissions and other submitted content, (b) Your submission of User Submissions without necessary rights, permissions, or consents, (c) Your use of the Services, including Your access to, use of, sharing of, reliance on, or misuse of the Services or Assets, (d) Your entry into or participation in any daily fantasy sports contest, (e) Your violation of any daily fantasy sports platform rules, contest rules, third-party terms, or applicable laws, or (f) Your violation of these Terms of Service, including use of the Services in violation of these Terms of Service.
ALL LEGAL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT, INCLUDING ANY DISPUTE REGARDING THE INTERPRETATION OR PERFORMANCE OF THE AGREEMENT (“Dispute”), WILL BE GOVERNED BY THE LAWS OF THE STATE OF CALIFORNIA, USA, EXCLUDING CALIFORNIA’S CONFLICTS OF LAWS RULES.
The parties will try in good faith to settle any Dispute within 30 days after the Dispute arises. If the Dispute is not resolved within 30 days, it shall be resolved by arbitration by the American Arbitration Association in accordance with its Expedited Commercial Rules in force as of the date of this Agreement (“Rules”). The parties will mutually select one arbitrator. The arbitration will be conducted in English in Los Angeles County, California, USA.
Either party may apply to any competent court for injunctive relief necessary to protect its rights pending resolution of the arbitration. The arbitrator may order equitable or injunctive relief consistent with the remedies and limitations in the Agreement.
The arbitral award will be final and binding on the parties, and its execution may be presented in any competent court, including any court with jurisdiction over either party or any of its property. Each party will bear its own lawyers’ and experts’ fees and expenses, regardless of the arbitrator’s final decision regarding the Dispute.
Neither party will be liable for failure or delay in performance to the extent caused by circumstances beyond its reasonable control, including acts of God, natural disasters, terrorism, riots, pandemics, war, labor disputes, power failures, internet failures, platform outages, app store disruptions, cloud provider failures, artificial intelligence provider failures, sports data provider failures, odds provider failures, daily fantasy sports platform failures, sporting event postponements or cancellations, or other events beyond reasonable control.
If You do not comply with a portion of these Terms and We do not take action right away, this does not mean We are giving up any of Our rights under these Terms. If any part of these Terms is determined to be invalid or unenforceable by a court of competent jurisdiction or arbitrator, the remainder of the Terms shall be enforced to the maximum extent permitted by law.
